OJOS by Verbena Projects — Effective Date: June 5, 2026
These Advertiser Terms of Service ("Terms") constitute a legally binding agreement between you ("Sponsor," "you," or "your") and Verbena Projects LLC ("OJOS," "we," "us," or "our"), a California limited liability company, governing your participation in the OJOS by Verbena Projects advertising network ("the Network").
By submitting an inquiry, creating a sponsor account, or placing an advertisement through the Network, you agree to be bound by these Terms. If you do not agree, do not use the Network.
You must be at least 18 years of age and have the legal authority to enter into this agreement on behalf of yourself or your business. By using the Network, you represent and warrant that you meet these requirements.
OJOS by Verbena Projects is an advertising network that displays sponsor ads across sites in the Verbena Projects portfolio, including wellness, lifestyle, creativity, and spirituality properties. Ad placement, frequency, and distribution across the network are determined by OJOS at its sole discretion based on your subscription tier, content category, and network availability.
We do not guarantee a specific number of impressions, clicks, or conversions. Ad performance depends on many factors including your ad creative, content relevance, and audience fit.
Participation in the Network requires an application and admin approval. Submitting an inquiry does not guarantee acceptance. We reserve the right to approve or reject any application at our sole discretion, with or without providing a reason.
All ad creative submitted by sponsors is subject to review and approval before going live on the Network. We reserve the right to reject, request modification of, or remove any ad at any time for any reason, including but not limited to content that violates these Terms or that we determine is not a good fit for our network audiences.
At signup, sponsors select a content category that describes their product or service. This category is used to match ads to appropriate audiences and properties across the Network. You are responsible for selecting the category that most accurately describes your advertising content.
We reserve the right to reassign or update your content category if we determine that your ads do not accurately match your declared category. Misrepresenting your content category is grounds for account termination.
6.1 General. OJOS does not impose restrictions based on industry alone. Sponsors in regulated industries — including hemp, CBD, cannabis (where legal), supplements, and similar categories — are welcome on the Network, provided their ads comply with these Terms and all applicable laws.
6.2 Your Responsibilities. You are solely responsible for ensuring that your ad content:
6.3 Prohibited Content. Regardless of legal status, the following content is not permitted on the Network:
7.1 Subscription Tiers. Network participation is available on a tiered subscription basis. Current tier definitions, pricing, and ad limits are described on the OJOS website and may be updated from time to time with notice.
7.2 Billing. By selecting a paid tier, you authorize us to charge your payment method on a recurring monthly basis at the applicable rate. Subscriptions renew automatically unless cancelled before the renewal date.
7.3 Cancellation. You may cancel your subscription at any time through the sponsor portal. Upon cancellation, your ads will remain active through the end of the current billing period, after which they will be paused.
7.4 Refunds. Subscription fees are non-refundable except as required by applicable law or as determined at our sole discretion. We reserve the right to issue refunds on a case-by-case basis but are not obligated to do so.
7.5 Failed Payments. If a scheduled payment fails, your ads will be paused until payment is resolved. You will be notified by email. We reserve the right to terminate accounts with persistent payment failures.
7.6 Price Changes. We reserve the right to modify subscription pricing at any time with at least 30 days' notice before the change takes effect on your account.
We reserve the right to pause or remove any ad from the Network at any time, with or without notice, if we determine that the ad violates these Terms, is receiving complaints, or is otherwise not suitable for the Network. Where possible we will notify you and provide an opportunity to revise the ad. For serious violations, removal may be immediate.
9.1 Termination by You. You may close your account at any time by canceling your subscription and contacting us.
9.2 Termination by Us. We reserve the right to suspend or terminate your sponsor account at any time for:
9.3 For lesser or first-time violations, we will generally provide notice and an opportunity to remedy the issue before termination, at our discretion.
You retain ownership of your ad creative. By submitting ads to the Network, you grant Verbena Projects LLC a non-exclusive, royalty-free license to display, reproduce, and distribute your ad creative solely for the purpose of serving it across the Network during your active subscription.
You represent and warrant that you own or have the right to use all content in your ads, including images, text, logos, and trademarks, and that your ads do not infringe any third-party intellectual property rights.
The Network is provided "as is" and "as available." We make no warranties regarding ad performance, impression counts, click-through rates, or conversion outcomes. We do not guarantee uninterrupted availability of the Network.
To the fullest extent permitted by applicable law, Verbena Projects LLC and its members, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Network, including but not limited to loss of revenue, lost business opportunities, or reputational harm.
Our total cumulative liability to you shall not exceed the amounts you paid to us in the three months preceding the claim.
You agree to indemnify, defend, and hold harmless Verbena Projects LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your ad content; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.
14.1 Informal Resolution. Before initiating any formal dispute process, contact us at info@verbenaprojects.com and attempt to resolve the issue informally. We will make reasonable efforts to respond within 30 days.
14.2 Binding Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS in California, or remotely if both parties agree. The arbitrator's decision shall be final and binding.
14.3 Class Action Waiver. Disputes will be resolved only on an individual basis, not as a class or representative action.
14.4 Governing Law. These Terms are governed by the laws of the State of California, without regard to conflict of law provisions.
We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms and updating the effective date. Continued participation in the Network after changes take effect constitutes acceptance of the revised Terms.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Verbena Projects LLC with respect to your participation in the OJOS Network and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
